Terms of Service

Pronoia is a business workspace operated by Pronoid ("Pronoid," "we," "us"). These Terms of Service ("Terms") govern your access to and use of pronoid.ai and related Pronoia products and services (the "Service"), including Noia, your chief of staff inside Pronoia.

By creating an account, signing in, or continuing to use the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

You must be at least 18 years old (or the age of majority where you live) and able to form a binding contract to use the Service.

You are responsible for the accuracy of information you provide, for keeping your login credentials and email secure, and for activity under your account. Notify us promptly at support@pronoid.ai if you suspect unauthorized access.

Pronoia helps teams capture business context, organize knowledge, coordinate work, and receive finished outputs with receipts. Features may change as we improve the product.

We may offer free and paid plans. Fees, if any, will be disclosed before you purchase. Unless otherwise stated, subscriptions renew until cancelled according to the plan terms shown at checkout or in billing settings.

You retain ownership of content you submit to the Service ("Customer Content"), including messages, files, knowledge pages, and connected-app data you choose to bring in.

You grant Pronoid a limited license to host, process, transmit, and display Customer Content solely to provide and improve the Service for you and your workspace.

You must not use the Service to break the law, infringe others' rights, upload malware, attempt to disrupt the Service, or submit content you do not have the right to use. You are responsible for complying with laws that apply to your business and your Customer Content.

Our collection and use of personal information is described in the Privacy Policy at /privacy. By using the Service you acknowledge that policy.

The Service may let you connect third-party apps or providers. Those services are governed by their own terms and privacy policies. Pronoid is not responsible for third-party products you choose to connect.

Pronoid and its licensors own the Service, including software, design, branding, and documentation. These Terms do not transfer ownership of Pronoid intellectual property to you. You may not copy, reverse engineer, or resell the Service except as allowed by law or a separate written agreement.

We aim for reliable availability but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue features with reasonable notice when practical.

We may update these Terms. Material changes will be posted on this page with an updated date. Continued use after changes become effective constitutes acceptance of the updated Terms.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

Outputs generated or suggested by Pronoia may be incomplete or incorrect. You are responsible for reviewing results before relying on them for business decisions.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRONOID AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR CLAIMS RELATED TO THE SERVICE IN ANY TWELVE-MONTH PERIOD WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THAT PERIOD (OR USD $100 IF YOU USE A FREE PLAN).

You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms, create risk for the Service or other customers, or if required by law. Upon termination, your right to use the Service ends; provisions that should survive (including ownership, disclaimers, and liability limits) will survive.

These Terms are governed by the laws of the State of California, USA, excluding conflict-of-law rules, unless mandatory local consumer law requires otherwise. Courts in San Francisco County, California will have exclusive jurisdiction, subject to applicable consumer protections.
